You own your recordings, transcripts, summaries and the instructions you write (“your content”). We claim no rights in your content and do not receive it. You are responsible for your content and for any decision to share it.

Terms of Service
1. Agreement
These Terms of Service (“Terms”) are an agreement between you and AM Consulting (“AM Consulting”, “we”, “us”), based in Israel. They govern your use of the Upshot desktop application (“Upshot” or “the app”) and this website. By installing or using Upshot you accept these Terms. If you use Upshot on behalf of an organization, you accept them on its behalf and confirm you are authorized to do so. If you do not accept them, do not use Upshot.
Our Privacy Policy explains how Upshot handles information, and forms part of these Terms.
2. What Upshot is
Upshot is a Windows application that records meetings on your computer, transcribes them there, and produces written summaries using an AI provider you choose. It runs on your own computer; we do not host your recordings, transcripts or summaries. Upshot is currently provided free of charge. If we introduce paid features, we will tell you before they apply to you.
3. Your licence to use Upshot
Subject to these Terms, AM Consulting grants you a personal, non-exclusive, non-transferable, revocable licence to install and use Upshot for your own personal or internal business purposes. Where the Upshot source code or a component of it is made available under a separate licence, that licence governs your rights in that code. Upshot includes third-party components that are licensed under their own terms, as listed in its repository.
You may not, except as that licence or applicable law permits: sell, rent or sublicense Upshot; remove any proprietary notices; or use Upshot to build a competing product or service.
4. Your responsibilities
You are responsible for how you use Upshot. In particular, you agree:
- To record lawfully. Laws on recording conversations differ between countries and states, and some require the consent of everyone taking part. You are solely responsible for informing the people in your meetings that you are recording and for obtaining any consent the law requires, and for complying with any obligations of your employer or clients.
- To respect others' rights. You will not use Upshot to record, process or share content in a way that infringes anyone's privacy, confidentiality, intellectual-property or other rights.
- To follow the rules of the services you connect. You will comply with the terms of any AI provider, email service or Google service you connect to Upshot.
- To keep your computer and credentials secure. Your recordings and the credentials you enter are stored on your computer, and you are responsible for protecting it.
- Not to misuse Upshot, including by using it for any unlawful purpose, or by attempting to interfere with it or with any service it connects to.
5. Third-party services
Upshot can connect to services operated by others, such as AI providers (Anthropic, OpenAI, Google Gemini), your email provider, Google Calendar, and the sites from which it downloads models. You connect them at your choice, using your own accounts and credentials, and your use of them is governed by their terms and privacy policies. We do not control these services and are not responsible for them, for their availability, or for how they handle the data you send them. Any fees they charge are between you and them.
6. Google services
If you connect your Google account, Upshot reads your Google Calendar events with read-only access, as described in section 4 of our Privacy Policy. Your use of Google services is subject to Google's terms. You can disconnect Google Calendar in Upshot at any time, and revoke Upshot's access at myaccount.google.com/permissions.
8. AI-generated output
Transcripts and summaries are produced automatically by speech-recognition and AI models. They can be incomplete or wrong: they may mishear words, attribute statements to the wrong person, omit points or state things that were not said. Review them before relying on them or sharing them, and do not use them as the sole basis for legal, medical, financial or other important decisions.
9. Our intellectual property
Except for your content and for third-party components, Upshot, its design, the Upshot name and logo, and this website are owned by AM Consulting and protected by intellectual-property laws. These Terms do not grant you any right to use our names, logos or trademarks.
10. Early versions and changes
Upshot is under active development. Features may be marked as new or in testing, and may change, be limited or be withdrawn. We may update Upshot, and some updates may be needed to keep using it. We may stop providing Upshot at any time.
11. Disclaimer of warranties
To the maximum extent permitted by law, Upshot and this website are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that Upshot will be uninterrupted or error-free, that it will record or detect every meeting, or that recordings, transcripts or summaries will be complete or accurate. You are responsible for keeping backups of anything you need.
12. Limitation of liability
To the maximum extent permitted by law, AM Consulting will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, recordings, profits, revenue, business or goodwill, arising out of or relating to Upshot or these Terms, however caused and even if we were advised of the possibility. To the same extent, our total liability for all claims arising out of or relating to Upshot or these Terms is limited to the greater of the amount you paid us for Upshot in the twelve months before the claim and US$100. Nothing in these Terms limits liability that cannot be limited by law.
13. Indemnity
To the extent permitted by law, you will indemnify AM Consulting against claims by third parties arising from your recordings or your use of Upshot in breach of these Terms or of applicable law, including recording without a required consent.
14. Termination
You may stop using Upshot at any time by uninstalling it and deleting its data folder. We may suspend or end your licence if you breach these Terms. Sections 7 to 17 continue to apply after termination.
15. Governing law
These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. The competent courts in Tel Aviv-Jaffa, Israel have exclusive jurisdiction over any dispute arising out of or relating to these Terms or Upshot, except that mandatory consumer-protection laws of your country of residence continue to apply where they give you additional rights.
16. Changes to these terms
We may update these Terms. We will publish the updated Terms on this page, and for material changes we will give notice in the app or on this website before they take effect. If you keep using Upshot after the changes take effect, you accept the updated Terms.
17. General
These Terms and the Privacy Policy are the entire agreement between you and us about Upshot. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. You may not transfer your rights under these Terms without our consent; we may transfer ours as part of a merger, acquisition or sale of assets.
